DefendHub Terms and Conditions

These Terms and Conditions (“Terms”) are a binding agreement between you and VoPro Strategies LLC, an Illinois limited liability company operating DefendHub (“DefendHub,” “VoPro Strategies,” “we,” “us,” or “our”).

These Terms govern your access to and use of DefendHub websites, applications, accounts, portals, volunteer systems, communications systems, telephone and text-message programs, email programs, and related services collectively referred to as the “Services.”

1. Acceptance of These Terms

By accessing or using the Services, creating an account, submitting information, registering as a volunteer, accepting an assignment, or clicking a button indicating acceptance, you agree to these Terms and the DefendHub Privacy Policy.

If you use the Services on behalf of an organization, you represent that you have authority to bind that organization. In that situation, “you” includes both you and the organization.

Do not use the Services if you do not agree to these Terms.

2. Eligibility

You must be legally capable of entering into these Terms.

You must be at least 18 years old or the age of legal majority in your jurisdiction to:

  • Create an organizational or administrative account;
  • Upload or manage other individuals’ personal information;
  • Authorize communications on behalf of an Organization; or
  • Accept a volunteer role involving independent responsibilities,

unless DefendHub expressly approves participation by a minor with legally sufficient parental or guardian authorization.

Public-facing portions of the Services may be used by individuals seeking information or assistance, subject to applicable law.

3. Description of the Services

DefendHub may provide technology and operational support for:

  • Voter-assistance and election-protection programs;
  • Civic-engagement programs;
  • Volunteer recruitment and coordination;
  • Hotline, reporting, or case-routing systems;
  • Training and assignment management;
  • Email, telephone, and text-message communications;
  • Contact and relationship management;
  • Organizational collaboration;
  • Data collection and program reporting; and
  • Related civic, legal, political, educational, or nonprofit activities.

The exact Services available to you may depend on your role, Organization, location, program, permissions, and applicable agreement.

We may add, modify, suspend, or discontinue features. We are not obligated to maintain any particular feature, integration, telephone number, sending domain, or communication channel indefinitely.

4. Technology Providers

DefendHub may use third-party technology providers to operate the Services.

These providers include:

  • Lovable, for application development, infrastructure, website functionality, databases, workflows, hosting-related functionality, or related software services; and
  • Telzio, for telephone, text-message, call-routing, voicemail, call-recording, or related communications services.

Your use of features supported by these providers may also be affected by their technical requirements, service limitations, acceptable-use policies, availability, and legal obligations.

DefendHub may replace or add vendors as reasonably necessary to operate, secure, or improve the Services.

5. Important Service Limitations

A. Not an emergency service

DefendHub is not an emergency-response service.

Do not use DefendHub to report an immediate threat to life or physical safety. Contact 911 or the appropriate local emergency authority.

B. No guaranteed response or outcome

Submitting a request, report, application, or volunteer registration does not guarantee:

  • That DefendHub or an Organization will respond;
  • That a volunteer or attorney will be assigned;
  • That a report will be investigated;
  • That a government agency or election official will take action;
  • That a problem will be resolved;
  • That you will receive a particular volunteer assignment; or
  • That a communication will be delivered before a deadline.

You are responsible for independently protecting your rights and complying with applicable deadlines.

C. Information may change

Election dates, voting rules, registration requirements, polling locations, court rules, agency procedures, and other legal or governmental information may change.

Although we attempt to provide useful and accurate information, you should verify time-sensitive information with the appropriate election authority, government agency, court, licensed attorney, or other authoritative source.

6. Accounts and Account Security

You agree to:

  • Provide accurate and current registration information;
  • Maintain only accounts you are authorized to use;
  • Protect passwords and authentication credentials;
  • Use reasonable security practices;
  • Restrict account access to authorized personnel;
  • Promptly remove access for former staff, contractors, or volunteers;
  • Notify DefendHub of suspected unauthorized access; and
  • Accept responsibility for activity occurring through your account.

You may not share an individual account unless DefendHub expressly authorizes shared access.

DefendHub may require multifactor authentication, identity verification, or additional security measures.

7. Electronic Communications

You agree that DefendHub may provide agreements, notices, disclosures, records, and other communications electronically.

Electronic communications may be delivered through:

  • Email;
  • Text message;
  • In-application notification;
  • Account dashboard;
  • Website posting; or
  • Another electronic method associated with your account.

You may withdraw consent to receive legally required records electronically by contacting us, but doing so may require account closure if electronic delivery is necessary to provide the Services.

8. Telephone, Text-Message, and Email Terms

A. Communications about your request or program

When you provide a telephone number or email address and request information, assistance, volunteer participation, or another service, you authorize DefendHub and the relevant Organization to contact you about the particular request or program for which you submitted the information, subject to applicable law.

The authorization does not extend to unrelated campaigns, programs, fundraising efforts, commercial offers, or organizational initiatives.

B. Recurring and automated communications

If you separately consent, DefendHub or the applicable Organization may send recurring calls or text messages concerning:

  • Your request;
  • Volunteer opportunities connected to the program for which you registered;
  • Training;
  • Shift assignments;
  • Scheduling;
  • Election or civic-program alerts;
  • Program updates;
  • Deadlines;
  • Events; and
  • Closely related organizational activities.

Calls or text messages may be made using automated technology, an automatic telephone dialing system, or an artificial or prerecorded voice where disclosed and legally permitted.

Consent is not a condition of purchasing goods or services.

Message frequency varies. Message and data rates may apply.

C. Call monitoring and recording

Calls made to or from DefendHub or through DefendHub-supported programs may be monitored or recorded for:

  • Quality assurance;
  • Training;
  • Safety;
  • Documentation;
  • Program administration;
  • Dispute resolution;
  • Fraud prevention; and
  • Legal compliance.

Where required by law, notice will be provided or consent will be obtained before recording begins.

By remaining on a call after receiving any required recording notice, you consent to the monitoring or recording to the extent permitted by law.

If you do not wish to participate in a recorded call, you may end the call and request another available communication method.

D. Text-message opt-out

Reply STOP to opt out of the applicable text-message program.

You may also submit a clear revocation request through another reasonable method made available by DefendHub or the responsible Organization.

After an opt-out, you may receive one confirmation message. You will not receive additional messages from the opted-out program unless you later provide new consent or the communication is otherwise legally permitted.

Reply HELP for assistance.

E. Email opt-out

Use the unsubscribe link in an outreach, newsletter, volunteer-recruitment, or promotional email to unsubscribe.

You may continue receiving limited transactional, security, legal, or request-related communications.

F. Telephone opt-out

You may ask the caller to stop calling or to place your telephone number on the applicable do-not-call or suppression list.

You may also contact DefendHub at 312-270-1405.

G. Carrier responsibility

Wireless carriers are not responsible for delayed or undelivered messages. Availability may depend on your carrier and service plan.

H. Your responsibilities

You represent that:

  • You are the subscriber or customary user of the telephone number or email address you provide;
  • You are authorized to consent to communications at that address or number;
  • The information you provide is accurate; and
  • You will promptly notify us if your telephone number or email address changes.

9. Program-Specific Use of Contact Information

DefendHub and participating Organizations may use contact information only for the particular request, program, campaign, volunteer activity, assistance matter, event, or project that generated the contact.

For example:

  • Information submitted through an election-protection request may be used to respond to and administer that request;
  • Information submitted through a volunteer form may be used to recruit, train, schedule, and coordinate the individual for that volunteer program;
  • Information submitted through a specific campaign or Organization program may be used only for that program and closely related follow-up; and
  • Information submitted for a particular event may be used for registration, reminders, administration, and follow-up concerning that event.

Contact information may not be used for:

  • An unrelated campaign;
  • A different Organization’s program;
  • Unrelated fundraising;
  • Commercial marketing;
  • General list-building;
  • Data enrichment;
  • Independent political outreach;
  • Sale, rental, or exchange;
  • Personal outreach by staff or volunteers; or
  • Any materially different purpose,

unless the individual receives clear notice and separately and affirmatively consents where required.

10. Requirements for Organizations and Administrative Users

This section applies to any Organization or user that uploads contacts, sends communications, creates forms, manages volunteers, or uses DefendHub to communicate with other people.

A. Lawful authority

You may provide personal information to DefendHub only when you have a lawful right to collect, use, and disclose it.

You represent and warrant that:

  • You have provided all privacy notices required by law;
  • You have obtained all legally required permissions and consents;
  • Your consent language accurately identifies the sender and categories of communications;
  • You maintain reliable records demonstrating consent where required;
  • Your information was not obtained through fraud, deception, unlawful scraping, hacking, impersonation, or another prohibited source; and
  • Your use of the information is consistent with the particular request or program for which it was collected.

B. Program-purpose limitation

An Organization may use information obtained through DefendHub only for the specific request, program, campaign, volunteer activity, assistance matter, event, or project that generated the contact.

An Organization may not:

  • Add the person to a general organizational list;
  • Transfer the contact to another campaign or program;
  • Use the contact for unrelated fundraising;
  • Use the contact for unrelated political persuasion;
  • Use the contact for independent commercial outreach;
  • Combine the contact with outside data for an unrelated purpose;
  • Allow staff or volunteers to use the information personally; or
  • Retain the information for an unrelated future program,

unless the person separately and affirmatively consents and the Organization complies with applicable law.

C. Communications compliance

You are responsible for ensuring that your communications comply with all applicable:

  • Telephone and text-message laws;
  • Telemarketing and do-not-call rules;
  • Email-marketing laws;
  • Quiet-hour restrictions;
  • State privacy laws;
  • Election laws;
  • Campaign-finance laws;
  • Consumer-protection laws;
  • Carrier and messaging-provider requirements; and
  • Contractual restrictions.

You must identify the responsible Organization in communications when required and provide legally sufficient opt-out instructions.

D. Imported contacts

You may not upload or use:

  • Purchased or rented contact lists without DefendHub’s written approval and a documented lawful basis;
  • Scraped telephone numbers or email addresses;
  • Numbers generated randomly or sequentially;
  • Contacts who have revoked consent;
  • Contacts on an applicable internal suppression list;
  • Contacts obtained through deception;
  • Information you are legally prohibited from possessing or using; or
  • Highly sensitive information that DefendHub has not approved for collection.

E. Opt-out and suppression records

You must honor all applicable opt-out, unsubscribe, and do-not-call requests.

DefendHub may:

  • Automatically suppress opted-out contacts;
  • Maintain a central suppression record;
  • Prevent a user from deleting a suppression record;
  • Block messages or calls to suppressed contacts;
  • Apply an opt-out across related programs where appropriate;
  • Audit consent and opt-out records; and
  • Suspend an Organization that fails to honor communication preferences.

You may not export, copy, or otherwise use a suppression list to recontact people through another platform.

F. Responsibility for content

Organizations are responsible for communications, forms, scripts, contact lists, assignments, instructions, and content created or distributed through their accounts.

DefendHub’s technical transmission of a communication does not mean DefendHub endorses or independently verifies its content.

11. Acceptable Use

You may use the Services only for lawful and authorized purposes.

You may not use the Services to:

  • Violate a law, regulation, court order, or government requirement;
  • Interfere with voting rights or election administration;
  • Intimidate, threaten, coerce, deceive, or harass a voter;
  • Provide knowingly false information about voting eligibility, election dates, registration, polling locations, identification requirements, or voting procedures;
  • Suppress or discourage lawful voting through deceptive practices;
  • Impersonate another person, campaign, organization, attorney, election official, government agency, or DefendHub;
  • Send unlawful, unauthorized, deceptive, or abusive calls, text messages, or emails;
  • Contact a person after a legally effective opt-out;
  • Use contact information outside the particular request or program that generated the contact;
  • Discriminate unlawfully;
  • Stalk, threaten, exploit, or harass another person;
  • Upload malware, malicious code, or harmful files;
  • Circumvent security, access controls, rate limits, or communication restrictions;
  • Obtain unauthorized access to another account;
  • Probe or test systems without written authorization;
  • Copy, scrape, harvest, or extract data except through an authorized feature;
  • Sell, rent, license, exchange, or commercially exploit DefendHub data;
  • Use DefendHub data for unrelated marketing, fundraising, or advertising;
  • Reverse engineer the Services except where applicable law prohibits that restriction;
  • Interfere with the availability or operation of the Services;
  • Misrepresent consent records;
  • Evade spam filters, carrier controls, suppression lists, or enforcement measures;
  • Upload unnecessary Social Security numbers, financial credentials, passwords, or full medical records; or
  • Encourage or assist another person in doing any prohibited act.

12. User Content and Submitted Information

“User Content” means information, reports, documents, images, messages, scripts, lists, notes, and other materials submitted through the Services.

You retain any ownership rights you have in your User Content.

You grant DefendHub a nonexclusive, worldwide, royalty-free license to host, store, reproduce, transmit, format, display, analyze, and otherwise process User Content as reasonably necessary to:

  • Provide the Services;
  • Carry out your authorized instructions;
  • Support the particular Organization or program associated with the information;
  • Secure and improve the Services;
  • Comply with law; and
  • Enforce these Terms.

You represent that your User Content:

  • Is accurate to the best of your knowledge;
  • Does not violate another person’s rights;
  • Does not contain information you are prohibited from disclosing;
  • Was obtained lawfully; and
  • May lawfully be processed as contemplated by these Terms.

DefendHub may remove or restrict User Content that violates these Terms or creates legal, security, operational, or safety risks.

13. Confidentiality and Contact Data

Organizational users may receive access to nonpublic information concerning contacts, volunteers, reports, assistance requests, or other users.

You must:

  • Use nonpublic information only for the particular authorized DefendHub or Organization program;
  • Restrict access to people with a legitimate need;
  • Protect information using reasonable safeguards;
  • Follow DefendHub and Organization confidentiality policies;
  • Avoid downloading or exporting information unnecessarily;
  • Promptly report unauthorized access or disclosure; and
  • Delete or return information when your access or assignment ends, subject to lawful retention requirements.

Volunteers may not use contact information obtained through DefendHub for:

  • Personal outreach;
  • Independent campaigning;
  • Unrelated political outreach;
  • Fundraising;
  • Business development;
  • Social-media contact;
  • Personal networking; or
  • Any unrelated purpose.

14. Volunteers

Registering as a volunteer does not guarantee acceptance, training, credentialing, assignment, reimbursement, or continued participation.

Unless a separate written agreement states otherwise:

  • Volunteers are not employees of DefendHub;
  • Volunteer service does not create an employment, partnership, joint-venture, or agency relationship;
  • Volunteers are not entitled to wages, employee benefits, or expense reimbursement;
  • Volunteers may not bind DefendHub or an Organization;
  • Volunteers may not speak publicly on behalf of DefendHub without authorization; and
  • DefendHub or an Organization may end a volunteer assignment at any time.

Volunteers must:

  • Complete required training;
  • Follow scripts, instructions, safety procedures, and codes of conduct;
  • Maintain confidentiality;
  • Use contact information only for their assigned program;
  • Act professionally;
  • Avoid confrontation or escalation;
  • Accurately record material interactions;
  • Immediately report serious safety or legal concerns; and
  • Refrain from providing legal advice unless licensed and expressly authorized to do so.

15. No Attorney-Client Relationship or Legal Advice

DefendHub may support programs involving attorneys, law students, legal volunteers, or legal organizations. Use of DefendHub does not itself create an attorney-client relationship.

Unless a licensed attorney or law firm expressly accepts representation through a separate written agreement:

  • DefendHub is not your attorney;
  • No attorney-client relationship is formed;
  • Communications may not be protected by attorney-client privilege;
  • Information provided through the Services is not legal advice;
  • No conflict check has necessarily been completed; and
  • DefendHub is not responsible for filing or preserving a legal claim or deadline.

You should contact a licensed attorney concerning legal advice or representation.

An attorney using DefendHub remains independently responsible for professional-conduct, confidentiality, supervision, conflicts, competence, recordkeeping, and client-communication obligations.

16. Intellectual Property

The Services, including their software, design, branding, databases, text, graphics, workflows, forms, documentation, and other content provided by DefendHub, are owned by VoPro Strategies LLC or its licensors and are protected by applicable intellectual-property laws.

Subject to these Terms, DefendHub grants you a limited, revocable, nonexclusive, nontransferable right to use the Services for their authorized purpose.

You may not use DefendHub’s name, trademarks, logos, or branding without written permission, except to accurately identify your authorized participation in a DefendHub program.

17. Feedback

If you submit suggestions, ideas, or feedback, you grant DefendHub the right to use that feedback without restriction or compensation, provided we do not publicly identify you without permission.

18. Third-Party Services

The Services may integrate with or link to third-party products, websites, communications providers, mapping tools, government resources, payment processors, or organizational platforms.

DefendHub does not control third-party services and is not responsible for their:

  • Availability;
  • Security;
  • Accuracy;
  • Content;
  • Privacy practices;
  • Terms; or
  • Performance.

Your use of a third-party service may be governed by separate terms.

19. Fees and Paid Services

Some Services may be provided without charge. Other Services may require payment or be governed by an order form, subscription agreement, statement of work, or organizational agreement.

Unless otherwise stated:

  • Fees are quoted in U.S. dollars;
  • Fees are nonrefundable except where required by law;
  • You are responsible for applicable taxes; and
  • Failure to pay may result in suspension or termination.

If another written agreement conflicts with these Terms regarding fees, service levels, data processing, or organizational obligations, the more specific written agreement controls.

20. Suspension and Termination

You may stop using the Services at any time.

DefendHub may suspend, restrict, or terminate access when we reasonably believe:

  • You violated these Terms;
  • You used contact information for an unauthorized program or purpose;
  • You created a security, legal, safety, reputational, or operational risk;
  • Your account is being used without authorization;
  • Your communications generate excessive complaints or opt-outs;
  • A carrier, vendor, regulator, or government authority requires action;
  • Payment is overdue;
  • Your Organization’s agreement has ended; or
  • Suspension is necessary to protect another person or the Services.

Upon termination, your right to use the Services ends.

DefendHub may retain information as described in the Privacy Policy and applicable organizational agreements.

21. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”

DEFENDHUB DISCLAIMS ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING WARRANTIES OF:

  • MERCHANTABILITY;
  • FITNESS FOR A PARTICULAR PURPOSE;
  • TITLE;
  • NON-INFRINGEMENT;
  • ACCURACY;
  • AVAILABILITY;
  • SECURITY; AND
  • QUIET ENJOYMENT.

DEFENDHUB DOES NOT WARRANT THAT:

  • THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE;
  • EVERY MESSAGE OR CALL WILL BE DELIVERED;
  • INFORMATION WILL ALWAYS BE CURRENT OR ACCURATE;
  • A REQUEST WILL BE ANSWERED OR RESOLVED;
  • A VOLUNTEER WILL RECEIVE AN ASSIGNMENT;
  • AN ORGANIZATION WILL COMPLY WITH ITS OBLIGATIONS; OR
  • THE SERVICES WILL MEET EVERY LEGAL OR REGULATORY REQUIREMENT APPLICABLE TO YOUR PARTICULAR ACTIVITIES.

Some jurisdictions do not permit certain warranty disclaimers. Those disclaimers apply only to the extent permitted.

22. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DEFENDHUB, VOPRO STRATEGIES LLC, AND THEIR AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, CONTRACTORS, LICENSORS, VOLUNTEERS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST DATA, LOST OPPORTUNITIES, REPUTATIONAL HARM, OR BUSINESS INTERRUPTION.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DEFENDHUB’S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF:

  • THE AMOUNT YOU PAID DIRECTLY TO DEFENDHUB FOR THE APPLICABLE SERVICES DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY; OR
  • ONE HUNDRED DOLLARS.

These limitations do not apply to liability that cannot lawfully be limited, including liability arising from fraud, willful misconduct, or other conduct for which applicable law prohibits limitation.

23. Indemnification

An Organization and each person using an organizational or administrative account agree to defend, indemnify, and hold harmless DefendHub, VoPro Strategies LLC, and their affiliates, officers, directors, employees, contractors, volunteers, licensors, and service providers from claims, liabilities, penalties, damages, losses, and reasonable legal expenses arising from:

  • The Organization’s contact lists or User Content;
  • Communications initiated by the Organization;
  • Use of information outside the particular program or purpose that generated the contact;
  • Failure to obtain legally required consent;
  • Failure to honor an opt-out;
  • Violation of privacy, communications, election, campaign-finance, or consumer-protection law;
  • Unauthorized access granted through the Organization’s account;
  • The Organization’s services, representations, or activities; or
  • Violation of these Terms.

An individual user who is not acting for an Organization is responsible under this section only for claims arising from that individual’s fraud, intentional misconduct, unlawful activity, infringement, or material violation of these Terms.

DefendHub may control the defense of a covered claim, and you agree to provide reasonable cooperation.

24. Governing Law and Venue

These Terms are governed by the laws of the State of Illinois, without regard to conflict-of-law principles.

Any judicial proceeding arising from these Terms or the Services must be brought in the state or federal courts located in Cook County, Illinois, and each party consents to personal jurisdiction and venue there.

This section does not prevent either party from seeking emergency injunctive relief in another jurisdiction where necessary to protect data, intellectual property, security, or safety.

25. Changes to These Terms

We may update these Terms periodically.

We will update the “Last Updated” date and provide additional notice of material changes when appropriate or legally required.

Changes apply prospectively. If you do not agree to updated Terms, you must stop using the Services.

Continued use after the effective date constitutes acceptance to the extent permitted by law.

26. Additional Agreements

A separate agreement may apply to an Organization, paid customer, volunteer program, attorney, contractor, or partner.

If a separate signed agreement conflicts with these Terms, the separate agreement controls concerning the subject of the conflict.

27. Miscellaneous

These Terms and incorporated agreements constitute the complete agreement regarding their subject matter.

If a provision is found unenforceable, it will be modified to the minimum extent necessary or severed, and the remaining provisions will continue in effect.

Failure to enforce a provision is not a waiver.

You may not assign these Terms without DefendHub’s written consent. DefendHub may assign these Terms in connection with a reorganization, merger, transfer, or similar transaction.

DefendHub is not responsible for delay or failure caused by circumstances beyond its reasonable control, including natural disasters, labor disputes, internet outages, carrier failures, cyberattacks, governmental actions, civil unrest, public emergencies, or failures of third-party infrastructure.

Sections that by their nature should survive termination will survive, including provisions concerning intellectual property, confidentiality, disclaimers, limitations of liability, indemnification, governing law, and retained information.
